Affiliate Terms of Service

These terms govern the ProperSizing affiliate partner program. By applying, promoting, or earning commissions as an affiliate, you agree to them in full.

1. Program overview

The ProperSizing Affiliate Program allows approved partners to earn commissions by referring new customers to ProperSizing. Affiliates are independent contractors of Proper Sizing LLC and are not employees, agents, representatives, or partners. You may not bind Proper Sizing LLC to any obligation or make representations on its behalf beyond what is expressly authorized in these terms or in writing.

Participation is open to individuals and businesses that complete the application and are approved by Proper Sizing LLC. We reserve the right to reject or remove any affiliate at our sole discretion.

2. Eligibility and prohibited promotion

You may promote ProperSizing only through channels you own or have permission to use, and only in a manner that is truthful, lawful, and consistent with our brand. The following are strictly prohibited:

• Bidding on ProperSizing trademarks, domain names, or misspellings in paid search, domain names, or social advertising.

• Making false, misleading, or exaggerated claims about earnings, performance, or the nature of the Software.

• Sending unsolicited bulk email, spam, or messages that violate anti-spam laws.

• Using adware, malware, cookie stuffing, or any automated mechanism to generate referrals.

• Representing yourself as an employee, agent, or official spokesperson of ProperSizing.

• Promoting ProperSizing on websites or channels that contain illegal, infringing, defamatory, or adult content.

• Offering incentives that are not approved in writing by Proper Sizing LLC, including cash-back or rebate schemes not explicitly authorized.

3. Commissions

Commissions are earned when a referred customer completes a qualifying purchase or subscription through your affiliate link or coupon code, as tracked by Tapfiliate or another affiliate platform we designate. Commission rates, recurring/lifetime commission eligibility, and qualifying events are displayed in your affiliate dashboard and may be updated with notice.

Commissions are calculated on the net amount received by Proper Sizing LLC, excluding taxes, refunds, chargebacks, discounts, processing fees, and failed or reversed payments. If a customer cancels or receives a refund within the applicable clawback period, the corresponding commission will be reversed.

4. Tracking, cookies, and attribution

Referrals are tracked using cookies, unique referral links, and coupon codes as configured in our affiliate platform. The attribution window and cookie duration are set in the affiliate platform and may be adjusted. A referral is credited to the last qualifying affiliate touch before conversion unless the platform's default attribution rules state otherwise.

You are responsible for ensuring your referral links and coupon codes are used correctly. We are not liable for tracking failures caused by a visitor's browser settings, ad blockers, cookie deletion, or other technical issues outside our control.

5. Coupon codes

Approved affiliates may be issued unique Stripe promotion codes to share with their audience. These codes are for personal or channel use only and must not be posted on public coupon aggregators, deal sites, or unauthorized marketplaces without written approval. Misuse, including mass distribution or code scraping, is grounds for immediate termination and forfeiture of commissions.

6. Payments and taxes

Commissions are paid according to the schedule and minimum threshold shown in your affiliate dashboard, typically by the method you select during onboarding. You are responsible for providing accurate payment and tax information. Payments may be withheld until valid tax documentation is received.

Affiliates are independent contractors and are solely responsible for reporting and remitting all income, sales, and other taxes arising from commissions. Proper Sizing LLC will issue applicable tax forms (such as Form 1099 in the United States) when required by law.

7. Term and termination

Either party may terminate the affiliate relationship at any time, with or without cause, by written notice. Upon termination: (a) you must immediately stop using affiliate links, coupon codes, and brand materials; (b) any outstanding commissions will be paid subject to the refund clawback period; and (c) any accrued commissions that have not yet reached the payment threshold will be forfeited if the threshold is not met within a reasonable period.

8. Intellectual property and brand use

We grant you a limited, revocable, non-exclusive license to use our trademarks, logos, and marketing materials solely to promote ProperSizing under these terms. You may not modify our marks, combine them with other brands in a confusing way, or register any domain, social handle, or business name that incorporates ProperSizing marks without written permission. All goodwill generated by your use of our marks inures to our benefit.

9. Limitation of liability and indemnification

Proper Sizing LLC's aggregate liability to you under these terms is limited to the commissions actually paid to you in the six months preceding the claim. We are not liable for lost profits, lost opportunities, or indirect damages.

You agree to indemnify and hold harmless Proper Sizing LLC, its officers, employees, and agents from any claim, loss, or damage arising out of your promotion of ProperSizing, your breach of these terms, or any violation of applicable law.

10. Changes to these terms

We may update these Affiliate Terms from time to time. Material changes will be communicated to active affiliates and will require renewed acceptance before continued participation or commission payouts.
